These terms and conditions of sale are entered into by, on the one hand, G.S.A.A. S.A., a company with a capital of €176,185.00, whose registered office is located in Saint-Germain-lès-Arpajon (91), registered with the Trade and Companies Register of Évry under number B 582 087 516, VAT CEE FR 78 582 087 516, Siret: 582 087 516 00081, hereinafter referred to as "Jeep Village," and, on the other hand, any individual or legal entity wishing to make a purchase via the website www.jeepvillage.com, hereinafter referred to as "the buyer."

Purpose

These terms and conditions of sale aim to define the contractual relationship between Jeep Village and the buyer, as well as the conditions applicable to any purchase made through the website jeepvillage.com, whether the buyer is a professional or a consumer. The acquisition of a good through this site implies unreserved acceptance by the buyer of these terms and conditions of sale. These terms and conditions of sale will prevail over any other general or specific conditions not expressly agreed to by Jeep Village. Jeep Village reserves the right to modify its terms and conditions of sale at any time. In such a case, the applicable conditions will be those in effect on the date of the order by the buyer.

The words "Jeep," "Willys," "Ford," "Hotchkiss," "Dodge," "GMC," "Chrysler," "Mopar," "Rubicon," "SRT," "Fiat," "Renault," "Mercedes," "AMC," "Bosch," "Autolite," "Timken," "Allen," "Torx," etc., are used solely to identify an automotive brand or manufacturer, to indicate the destination of products, and do not imply any affiliation with the manufacturers and their networks. Any brand present on the Jeep Village website is the property of the concerned company.

Characteristics of Goods Offered

In accordance with Article L111-1 of the Consumer Code, the buyer can, prior to placing an order, take note on the website jeepvillage.com of the essential characteristics of the products they wish to order. In case of modification of products or their presentations by a supplier, the graphic representation of these cannot engage the responsibility of Jeep Village nor affect the validity of the sale. The photographs, graphics, and descriptions of the products offered for sale are for indicative purposes only and may evolve, but the functional characteristics remain unchanged. The offers presented on the website jeepvillage.com are valid within the limits of available stocks. For products not stocked in its premises, the offers are valid within the availability at its suppliers and delivery times. Jeep Village reserves the right to modify the product assortment based on constraints related to its suppliers. In case of unavailability of the ordered product, Jeep Village will inform the buyer at the earliest opportunity. In accordance with the provisions of Article L121-20-3 of the Consumer Code, Jeep Village may provide a product of equivalent quality and price. Failing this, the buyer will be refunded without delay and no later than 30 days following the payment of the amounts paid.

Access to the Site and Customer Service

The buyer is responsible for setting up the necessary computer and telecommunications means to access the website jeepvillage.com and customer service. The buyer assumes the costs of communication when accessing the Internet and using the site. For any information or questions, our Customer Service is available from Monday to Friday from 9:00 AM to 12:00 PM and from 1:30 PM to 5:30 PM by phone at +33(0)1 41 73 23 23, and 24 hours a day by email at contact@jeepvillage.com.

Prices

The prices listed in the catalog are inclusive of all taxes (TTC) in euros, taking into account the VAT applicable on the day of the order; any change in the rate may be reflected in the price of the products. Jeep Village reserves the right to modify its prices at any time and without notice, it being understood that the price listed in the catalog on the day of the order will be the only one applicable to the buyer. The indicated prices include order processing fees. Transport and delivery costs are indicated upon basket validation, provided that the order takes place in the geographical areas mentioned below.

Geographical Area

The products are offered on the Internet without territorial limitation.

Orders

The buyer, who wishes to purchase a product, must:

1. Complete the identification form by providing all requested details.

2. Fill in the online order form by providing all references of the chosen products.

3. Validate the order after verifying it.

4. Make the payment under the stipulated conditions.

5. Confirm the order and payment.

Order confirmation implies acceptance of these terms and conditions of sale, recognition of full knowledge thereof, and waiver of claiming one’s own purchase conditions or other conditions. All provided data and recorded confirmation will serve as proof of the transaction. Confirmation will serve as signature and acceptance of the operations carried out. Jeep Village will communicate by email the confirmation of the recorded order and validation of the transaction. Jeep Village reserves the right to cancel and refuse any order from a customer with whom there exists a dispute concerning the payment of a previous order.

Withdrawal (excluding counter sales)

Non-professional physical buyers have a withdrawal period of fourteen days from the delivery of their mail order to return the product to the seller for exchange or refund without penalty, except for return shipping costs. Parts purchased at the counter will not be returned or exchanged except in case of error on our part. In the case of exceptional returns of parts that we may agree to, a storage fee of 15% will be applied. Any invoiced packaging will not be returned or refunded. Products must be returned to Jeep Village in perfect resale condition, in their original state (packaging, accessories, instructions...) duly sealed and accompanied by the corresponding purchase invoice. Any incomplete, damaged, or deteriorated product or whose original packaging has been damaged will not be refunded or exchanged.

Payment Terms

The price is due at the time of order. Payments for orders made on jeepvillage.com will be made by credit card; they will be processed through the secure CYBERPLUS PAIEMENT system which uses the SSL (Secure Socket Layer) protocol so that the transmitted information is encrypted by software and no third party can access it during transport over the network. At the buyer’s request, a paper invoice showing VAT will be sent. Orders placed by any means other than the online store (phone, fax, email, and counter) can be paid by check, cash, transfer, and credit card. By express agreement and unless a deferment is requested in time and granted by us, failure to pay for our supplies at the agreed deadline will result in:

1. Immediate payment of all outstanding amounts, regardless of the agreed payment method (accepted or not).

2. Payment, as damages and penalty clause, of a compensation equal to 15% of the amounts due, in addition to legal interest and possible legal fees.

Deliveries

Deliveries are made to the address indicated on the order form which can only be in the agreed geographical area. Risks are borne by the buyer from the moment the products have left Jeep Village’s premises. In case of damage during transport, a justified protest must be made to the carrier within 3 days of delivery. The shipping time corresponds to the processing and preparation time, the delivery time corresponds to the time necessary for the carrier to deliver the package to the address indicated. The average delivery times from Jeep Village’s warehouse are 24 hours for orders placed before 2:00 PM on a working day and consisting of in-stock items. For items on order, the shipping time is indicated for information on its product sheet and in the basket. For bulky packages, special orders, and deliveries outside mainland France, the average delivery times are 72 hours and may vary depending on the carrier's quote and the item. All these times are communicated for information. In any event, the ordered products will be delivered within a maximum of 15 days from the date of the order.

Shipping costs are free for purchases over €200 including tax for mainland France and Corsica, only for orders eligible for the Colissimo carrier (weight under 30 kg to home and 20 kg to collection points, total volume not exceeding 1.50 m, and non-fragile or sensitive content such as glass or battery). For all other destinations, ineligible orders, or other carriers, the costs are calculated in real time and displayed directly in your basket.

Warranty

All products supplied by the seller benefit from the legal warranty provided by articles 1641 to 1649 of the Civil Code:

- Article 1641: "The seller is bound by the guarantee on account of hidden defects of the item sold which render it unfit for the use for which it is intended, or which so diminish this use that the buyer would not have acquired it, or would have given only a lower price for it, if he had known them."

- Article 1642: "The seller is not bound by apparent defects which the buyer was able to convince himself of."

- Article 1643: "He is bound by hidden defects, even if he did not know them, unless, in this case, he has stipulated that he will be under no obligation to any guarantee."

- Article 1644: "In the cases provided for in Articles 1641 and 1643, the buyer has the choice of returning the item and having the price returned to him, or keeping the item and having a part of the price returned to him, as it will be arbitrated by experts."

- Article 1645: "If the seller knew of the defects in the item, they are liable, in addition to refunding the price received, for all damages and interests to the buyer."

- Article 1646 : "If the seller was unaware of the defects, they are only liable to refund the price and reimburse the buyer for the costs caused by the sale."

- Article 1647 : "If the item with defects perishes due to its poor quality, the loss is on the seller, who must refund the price and provide other compensations explained in the previous two articles. However, if the loss is due to external factors, it will be borne by the buyer."

- Article 1648 : "The action resulting from hidden defects must be brought by the purchaser within two years from the discovery of the defect."

- Article 1649 : "This does not apply to sales made by judicial authority."

- Article L211-4 : "The seller is required to deliver a property in accordance with the contract and is liable for any conformity defects existing at the time of delivery. This includes defects resulting from packaging, assembly instructions, or installation if these were the seller's responsibility."

- Article L211-5 : "To comply with the contract, the property must:

1. Be suitable for the usual use of a similar property and, if applicable, possess the qualities that a buyer can legitimately expect based on public statements made by the seller, producer, or representative, particularly in advertising or labeling.

2. Have the characteristics defined by mutual agreement between the parties or be suitable for any special use sought by the buyer, brought to the seller’s attention, and accepted by the seller."

- Article L211-12 : "The action resulting from non-compliance is prescribed by two years from the issuance of the property. In the case provided for in section 1642-1, the action must be brought within one year from the date on which the seller can be discharged from apparent defects or defects of conformity. In case of non-conformity of a product sold, it may be returned to the seller who will either take it back, exchange it, or refund it. All claims, requests for exchange, or refund must be made by mail to the following address: Jeep Village, 380 Av de Stalingrad 94550 Chevilly Larue, within 30 days of delivery."

Commercial Warranty

A 3-month warranty covers parts and labor for 'repacked jeeps' and a 1-year warranty for 'rebuilt jeeps,' both in accordance with Article L211-15. The commercial warranty provided to the buyer is in writing and specifies the contents of the warranty, the elements necessary for its implementation, its duration, territorial scope, and the name and address of the guarantor. It mentions that, regardless of the granted warranty, the seller remains liable for defects in the conformity of the property with the contract and the defects as provided for in Articles 1641 to 1649 of the Civil Code. It reproduces Articles L211-4, L211-5, and L211-12 of this code, as well as Article 1641 and the first paragraph of Article 1648 of the Civil Code. In the event of non-compliance, the warranty remains valid. The buyer is entitled to avail themselves of it.

Liability

The seller, in the online sales process, is only bound by an obligation of means; liability may not be incurred for damage resulting from the use of the internet network such as data loss, intrusion, virus, service failure, or other involuntary problems.

Intellectual Property

All elements of the Jeep Village site are and remain the intellectual and exclusive property of Jeep Village. No one is allowed to reproduce, exploit, rebroadcast, or use, in any way, even in part, elements of the site, whether software, visual, or audio. Any simple or hyperlink is strictly forbidden without the express written agreement of Jeep Village.

Personal Data

Jeep Village reserves the right to collect information about buyers but agrees not to provide any information to other companies or organizations. Buyers may object to the disclosure of their contact information by reporting it to Jeep Village. Similarly, users have the right to access and rectify their data, in accordance with the law of January 6, 1978.

Archiving - Proof

Jeep Village will archive purchase orders and invoices on reliable and durable media that constitutes a faithful copy in accordance with the provisions of Article 1348 of the Civil Code. The electronic records of Jeep Village will be considered by the parties as evidence of communications, orders, payments, and transactions between the parties.

Partial Validity

If several stipulations of these general terms and conditions of sale are held invalid or declared as such under a law, regulation, or following a final decision of a competent court, the other stipulations shall retain all their strength and scope.

Dispute Resolution

These online sales conditions are subject to French law. In the event of a dispute, jurisdiction shall be assigned to the competent courts of the seller's domicile, notwithstanding a plurality of defendants or a guarantee appeal.
